Section 1

Acceptance of Terms

These Terms of Use (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “Member”) and Casamino LLC, a Wyoming limited liability company doing business as Casamino (“Casamino,” “we,” “us,” or “our”). These Terms govern your access to and use of the Casamino website at casamino.com, all associated mobile applications, and all services, content, features, and functionality offered through the platform (collectively, the “Platform”).

By accessing, browsing, or using the Platform, by creating an account, by accepting an invitation to become a member, or by completing a purchase through the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not access or use the Platform.

These Terms incorporate by reference our Privacy Policy, our Membership Agreement (presented during registration), and any supplemental terms or policies posted on the Platform or provided to you in connection with specific features or services.

Section 2

Research Use Only

All research compounds offered through the Casamino Platform are sold strictly and exclusively for in-vitro research, educational, and scientific purposes only. Casamino research compounds are not intended for human or animal consumption. Casamino research compounds are not intended for use as food, food additives, dietary supplements, cosmetics, household chemicals, or any other form of consumer product. No research compound offered through this Platform has been evaluated, approved, or cleared by the United States Food and Drug Administration or any other regulatory body for any purpose.

By purchasing any research compound through the Platform, you represent and warrant that you are acquiring the compound solely for legitimate research purposes and that you will not use, administer, distribute, resell, or facilitate the use of any compound for human or animal consumption or for any diagnostic, therapeutic, or clinical purpose. You further represent and warrant that you understand the nature, properties, and risks associated with research compounds and that you have the knowledge, training, and qualifications necessary to handle such materials safely and in compliance with all applicable laws and regulations.

Casamino does not provide, and nothing on this Platform constitutes, instructions, guidance, or recommendations for human or animal use of any research compound. Any information provided on the Platform, including but not limited to content in the Research Library, community discussions, descriptions, Certificates of Analysis, and communications from the Casamino team, is presented for informational and educational purposes within a research context only. Such information does not constitute and must not be interpreted as medical advice, a prescription, a treatment protocol, a dosing recommendation, a diagnosis, or a suggestion to use any compound for human or animal consumption.

You acknowledge and agree that the decision to purchase any research compound from Casamino is made entirely at your own risk. You assume full responsibility for any and all consequences arising from your acquisition, handling, storage, use, misuse, or disposal of any compound purchased through the Platform. Casamino expressly disclaims all responsibility and liability for any use of its compounds beyond the stated research purpose.

Section 3

No Medical or Healthcare Services

Casamino is not a healthcare provider, medical practice, pharmacy, compounding pharmacy, clinical laboratory, medical device manufacturer, or licensed healthcare facility of any kind. Casamino does not employ, contract with, or otherwise engage physicians, pharmacists, nurses, physician assistants, naturopathic doctors, nutritionists, dietitians, or any other licensed or unlicensed healthcare practitioners in connection with the research compounds or services offered on this Platform.

No employee, officer, director, contractor, agent, representative, moderator, content creator, or affiliate of Casamino is acting in the capacity of a healthcare practitioner, and no communication from any such individual should be construed as medical advice, a medical opinion, a diagnosis, or a treatment recommendation. This applies without limitation to the co-founders, the founding team, community moderators, content authors, and any individuals who participate in the members-only community.

The co-founders of Casamino hold credentials in fitness, kinesiology, technology, and business. These professional backgrounds do not constitute medical licensure, and no communication from the co-founders, whether through the Platform, social media, community channels, video content, written content, or any other medium, should be interpreted as medical advice or as an exercise of medical judgment. No practitioner-patient, pharmacist-patient, or clinician-client relationship of any kind is created by your use of this Platform or your membership in the Casamino community.

If you are considering any action related to your health, you should consult a qualified, licensed healthcare professional. Casamino does not recommend, endorse, or suggest the use of any research compound for the treatment, prevention, diagnosis, or cure of any disease, medical condition, or health concern. If you are experiencing a medical emergency, contact your local emergency services immediately.

Section 4

Eligibility

To access the Platform, create an account, or become a Member, you must be at least 18 years of age (or the age of legal majority in your jurisdiction, whichever is greater), have the legal capacity to enter into a binding agreement, possess a valid invitation from an existing Member or from the Casamino founding team, and provide truthful, accurate, and complete information during registration.

By using the Platform, you represent and warrant that you meet all eligibility requirements. If we discover or reasonably believe that you do not meet these requirements, we reserve the right to suspend or terminate your account and membership without notice or refund.

It is your sole responsibility to determine whether applicable laws in your jurisdiction permit you to purchase research compounds and to comply with all such laws. Casamino makes no representation that the research compounds or services available through the Platform are appropriate or lawful for use in any particular jurisdiction.

Section 5

Membership

5.1 Invitation-Only Access

Casamino is a private, invitation-only membership club. Access to the Collection, the Research Library, and the members-only community requires an active, paid membership. There is no public storefront. Non-members cannot browse the Collection, view member pricing, or make purchases. Receipt of an invitation does not guarantee approval of membership.

5.2 Subscription and Billing

Membership requires a recurring subscription at the fee published on the Platform at the time of your registration. Founding Members who enrolled during the seed launch phase have their subscription fee locked at the rate confirmed at enrollment. Subscription fees are billed on a monthly or annual cycle, as selected during registration, and are charged to the payment method you provide. Subscription fees are non-refundable except as expressly stated in these Terms or as required by applicable law.

5.3 Free Trial

New members may be offered a complimentary trial period as described on the registration page. During the trial, you will have full access to all member features. A valid payment method is required to begin the trial. Unless you cancel before the trial period ends, your payment method will be charged the applicable subscription fee and your paid membership will begin automatically. It is your sole responsibility to cancel before the trial period ends if you do not wish to be charged.

5.4 Automatic Renewal

Your membership will automatically renew at the end of each billing cycle at the then-current subscription rate unless you cancel before the renewal date. You authorize us to charge the payment method on file for each renewal. If your payment method fails, we will attempt to process the charge up to three additional times over a seven-day grace period. If all attempts fail, your membership will lapse and access to member features will be suspended.

5.5 Cancellation

You may cancel your membership at any time through your Dashboard or by contacting support@casamino.com. Cancellation takes effect at the end of your current billing period. You will retain access to all member features until that date. No partial refunds are issued for unused portions of a billing period. Upon cancellation, access to the Collection, Research Library, member pricing, and the private community will be revoked at the end of your paid period.

5.6 Reactivation

If your membership lapses, you may reactivate by subscribing again. Your account history, order history, and referral network will be preserved. Reactivated memberships are subject to the subscription rate in effect at the time of reactivation, unless you hold a locked rate.

Section 6

Research Compounds and Orders

6.1 Descriptions

We make reasonable efforts to ensure that descriptions, specifications, and pricing on the Platform are accurate. However, we do not warrant that descriptions or other content on the Platform are complete, accurate, reliable, current, or error-free. If a compound you receive does not match its description, your sole remedy is to return it in accordance with our return policy.

6.2 Pricing

All prices are listed in United States dollars. Prices are subject to change without notice. The price charged will be the price in effect at the time you place your order. Typographical errors in pricing do not constitute binding offers, and we reserve the right to cancel any order placed at an incorrect price.

6.3 Order Acceptance

Your submission of an order constitutes an offer to purchase. All orders are subject to acceptance by Casamino. We reserve the right to refuse, cancel, or limit any order for any reason, including but not limited to availability, suspected fraud, errors in pricing or information, or concerns about compliance with applicable laws.

6.4 Fulfillment

Research compounds are fulfilled by our vetted fulfillment partner and shipped directly to you. Branded merchandise and supplies are fulfilled directly by Casamino. A single order containing items from both fulfillment channels may arrive in separate shipments. Fulfillment fees and shipping costs are calculated at checkout. Risk of loss passes to you upon delivery to the carrier.

6.5 Returns and Refunds

Due to the nature of research compounds and the requirements of safe handling, all sales of research compounds are final. We do not accept returns unless the compound is damaged in transit, materially different from its description, or fails to match the Certificate of Analysis published at the time of purchase. Merchandise and supplies may be returned within 30 days of delivery in unused, original condition for a refund of the item price. Shipping and fulfillment fees are non-refundable.

Section 7

Certificates of Analysis

Casamino publishes Certificates of Analysis (COAs) from independent, third-party laboratories for research compounds in the Collection. COAs are provided for informational and transparency purposes and reflect the results obtained by the testing laboratory at the time of analysis. Casamino does not independently verify or guarantee the accuracy of third-party laboratory results. The presence of a COA does not constitute a warranty, guarantee, or representation regarding the fitness of any compound for any particular purpose.

Section 8

Intellectual Property

8.1 Our Property

All content on the Platform, including but not limited to text, graphics, logos, icons, images, audio, video, software, data compilations, the Casamino wordmark, branded names (including but not limited to Wolverine, GLOW, Meridian, Epoch, Apex, Sentinel, Still, Drive, and Foundation), the design and layout of the Platform, and all other materials (collectively, “Platform Content”) are the property of Casamino or its licensors and are protected by United States and international intellectual property laws.

8.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial use. This license does not include the right to:

Collect data using automated means.
Reproduce or copy any portion of the Platform.
Modify or reverse-engineer the Platform.
Use the Platform for any commercial purpose without our prior written consent.

8.3 Trademarks

CASAMINO and all related names, logos, service names, designs, and slogans are trademarks of Casamino or its affiliates. You may not use these marks without our prior written permission.

Section 9

Member Content and Conduct

9.1 Member-Generated Content

The Platform may allow you to post, submit, or share content in community forums, chat channels, or other interactive features (“Member Content”). You retain ownership of your Member Content but grant Casamino a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, display, and distribute your Member Content in connection with operating the Platform.

9.2 Content Standards

You agree that your Member Content and your conduct on the Platform will not:

Make health claims, therapeutic claims, dosing recommendations for human use, or any statements implying research compounds are intended for human or animal consumption.
Violate any applicable law or third-party right.
Post defamatory, abusive, or discriminatory material.
Distribute spam or unauthorized advertising.
Impersonate any person or entity.
Share malware or harmful code.
Disclose confidential information of any third party.

9.3 Content Moderation

We reserve the right to monitor, review, edit, or remove any Member Content at our sole discretion. Violations may result in content removal, warnings, account suspension, or permanent membership termination without refund.

9.4 Member Conduct Policy

Members who make public health claims about research compounds purchased through Casamino, post about personal use on social media while tagging or referencing the Casamino brand, or otherwise create compliance exposure for the business may receive a warning and face membership termination upon repeated violation. Actions by individual members that jeopardize the Platform’s regulatory standing affect all members and will be treated seriously.

Section 10

Referral Program

Active Members may participate in our referral program by sharing unique invitation codes or referral links. Referral rewards are issued according to the reward structure published on the Platform at the time the referral qualifies. Casamino reserves the right to modify the referral program at any time without prior notice.

You agree not to use the referral program fraudulently, including creating fake accounts, self-referrals, or incentivized signups through unauthorized channels. Casamino reserves the right to void referral rewards and terminate memberships associated with abusive referral activity.

Section 11

Disclaimers

The Platform and all research compounds, services, content, and materials available through the Platform are provided on an “as is” and “as available” basis without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, Casamino disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Casamino makes no warranty that: (a) the Platform will be uninterrupted, secure, or error-free; (b) results obtained from the Platform will be accurate or reliable; (c) any research compounds will meet your expectations; (d) content on the Platform is accurate, complete, or current; or (e) defects will be corrected.

Section 12

Assumption of Risk

You expressly acknowledge and agree that your use of the Platform and your purchase of any research compound is at your sole risk. You assume full and complete responsibility for all risks associated with the acquisition, handling, storage, transportation, use, misuse, and disposal of any compound, including but not limited to personal injury, illness, death, property damage, or any other loss.

You acknowledge that research compounds are intended exclusively for in-vitro research purposes, that they may pose risks if handled improperly, that Casamino has not represented any compound as safe or effective for any particular use, and that you are solely responsible for determining suitability and complying with all applicable safety protocols and laws.

Section 13

Limitation of Liability

To the maximum extent permitted by law, Casamino, its officers, directors, employees, agents, contractors, affiliates, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including damages for loss of profits, goodwill, use, data, or other intangible losses, regardless of cause of action or theory of liability, even if advised of the possibility of such damages.

Total aggregate liability shall not exceed the greater of (a) the total amount you paid to Casamino in membership fees and purchases during the twelve (12) months preceding the claim, or (b) one hundred United States dollars ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, these limitations apply to the fullest extent permitted by law.

Section 14

Indemnification

You agree to indemnify, defend, and hold harmless Casamino, its officers, directors, employees, agents, contractors, affiliates, and service providers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:

Your use or misuse of the Platform or any research compound purchased through the Platform.
Your violation of these Terms or any applicable law, regulation, or third-party right.
Any use of a compound purchased through the Platform for human or animal consumption, diagnosis, treatment, prevention, or cure of any disease or medical condition.
Any claim that you or any third party suffered injury, illness, death, or property damage as a result of any compound purchased through the Platform.
Any Member Content you submit, post, or share on or through the Platform.
Any misrepresentation made by you regarding your qualifications, research purpose, or compliance with applicable laws.
Your failure to comply with applicable laws regarding the purchase, handling, storage, transport, or disposal of research compounds.
Any claim by a third party arising from your referral activity.

This indemnification obligation survives the termination of your account, your membership, and these Terms. We reserve the right to assume exclusive control of the defense of any claim subject to indemnification, in which case you agree to cooperate fully.

Section 15

Dispute Resolution

15.1 Informal Resolution

Before initiating any formal proceeding, you agree to contact us at legal@casamino.com and attempt to resolve the dispute informally for at least sixty (60) days.

15.2 Binding Arbitration

Any dispute arising from or relating to these Terms, your use of the Platform, your membership, or any research compounds purchased shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. The arbitration shall be conducted by a single arbitrator, in English, in the state of Wyoming or your county of residence. The arbitrator’s decision shall be final and binding.

15.3 Class Action Waiver

You and Casamino agree that each party may bring claims only in your or its individual capacity and not as a plaintiff or class member in any class, consolidated, or representative action. The arbitrator may not consolidate claims or preside over any representative proceeding. If this waiver is unenforceable, the entire arbitration provision is null and void.

15.4 Exceptions

Either party may seek injunctive relief to prevent intellectual property infringement. Claims eligible for small claims court may be brought there instead.

Section 16

Governing Law

These Terms shall be governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. To the extent litigation is permitted, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Wyoming.

Section 17

Termination

We reserve the right to suspend or terminate your account and membership, without prior notice and without refund, if:

You have violated these Terms.
You have engaged in fraudulent or illegal activity.
Your continued membership poses a risk to the Platform or our compliance posture.
You have provided false information.

Upon termination, your license to use the Platform is immediately revoked and access to all member features will be suspended. Sections 2, 3, 7, 8, 11, 12, 13, 14, 15, 16, and 18 survive termination.

Section 18

General Provisions

Entire Agreement

These Terms, together with the Privacy Policy and any referenced policies, constitute the entire agreement between you and Casamino and supersede all prior communications and agreements.

Severability

If any provision is held invalid or unenforceable, it shall be modified to the minimum extent necessary or severed. Remaining provisions continue in full force.

Waiver

No waiver of any term shall be deemed a continuing waiver. Failure to enforce a provision does not constitute a waiver.

Assignment

You may not assign your rights under these Terms without our written consent. Casamino may assign these Terms in connection with a merger, acquisition, or asset sale.

Force Majeure

Casamino is not liable for failures or delays caused by circumstances beyond our reasonable control, including natural disasters, government actions, regulatory changes, payment processor disruptions, supply chain interruptions, cyberattacks, or third-party service failures.

Headings

Section headings are for convenience only and have no legal effect.

Relationship of the Parties

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.

Section 19

Modifications to These Terms

Casamino reserves the right to modify these Terms at any time. When we make material changes, we will notify you by email and post a notice on the Platform at least thirty (30) days before changes take effect. Continued use after the effective date constitutes acceptance. If you disagree, cancel your membership before the effective date.
